MM&K speaks at London Stock Exchange Group webinar – Equipping boards for the challenges of evolving codes and best practice

On Wednesday, 28th February, Paul Norris, Director and Senior Partner of MM&K, joined an expert panel at the London Stock Exchange, alongside Board Excellence, Women on Boards UK and the Non-Executive Directors’ Association, to delve into the nature and nuances of good governance and the recent updates to governance codes.

The webinar commenced with a deep dive into the code updates and what constitutes good governance. The panellists explored the principles-based nature of the UK corporate governance, emphasising the “comply or explain” flexibility, discussing how boards could maintain this adaptability and maintain its effectiveness. Topics included the minimal burden approach by the FRC, the importance of internal controls and transparency and the evolving dynamic between non-executive and executive directors.

Subsequently, the conversation shifted to the ‘Investor Dialogue’, scrutinising stewardship and the engagement strategies between boards and investors. The panel addressed how the new UK Corporate Governance Code influences the dialogue with investors, their expectations for the Stewardship Code review and strategies for engaging with smaller investors to ensure long-term alignment and success.

The final segment, Practical Tools, offered insights into whether boards possess the necessary skills to meet the new code expectations. Discussions covered the importance of regular training and experience, the evolving role of non-executive directors and the suitability of the current NED remuneration model in light of the increased demands of roles and required skillsets.
